What Is Fractional Investor Relations—and When Does It Fit?

Oct 18, 2026 · 3 min read

Fractional investor relations gives a public company recurring IR capacity without employing a full-time internal team. The arrangement can include senior counsel, investor communications, outreach and daily execution. Its usefulness depends on which responsibilities actually transfer to the provider.

A monthly strategy call is not an outsourced IR department. Neither is a social media calendar. Before comparing retainers, decide which work your management team needs someone else to own.

Start with the work that keeps slipping

For many small-cap companies, the constraint is management attention. The CFO answers investor emails between reporting deadlines. The CEO remembers a promising conference conversation but never records the follow-up. Presentations accumulate contradictory numbers because nobody maintains the master version.

List those failures before writing a scope. Separate recurring operations from specialist projects. Recurring work might include maintaining the investor database, preparing monthly updates and managing inquiries. A transaction presentation or an investor day may need a separate budget.

A good fractional mandate names the person responsible for each recurring task, its deadline and the executive who approves it. “Support investor engagement” is too vague to manage.

Compare three operating models

Senior adviser

An adviser helps with positioning, investor feedback, management preparation and difficult communication decisions. Your employees still produce and distribute the material. This works when execution capacity exists but senior IR judgment is missing.

Embedded IR lead

An embedded lead coordinates finance, technical staff, management and outside suppliers. The lead maintains the calendar, prepares communications and runs follow-up. This suits companies where IR work crosses departments but nobody owns the whole process.

Outsourced IR function

A broader team combines leadership with writing, design, video, digital distribution and outreach. Check how much specialist production is included. A low retainer can become expensive if every presentation revision or video attracts another fee.

Pubco’s fractional investor relations service allows a mandate to be built around these responsibilities.

Write a scope that survives a busy quarter

Ask for a sample operating month. It should show the meeting cadence, expected deliverables, response times, approval process and what happens when an unexpected announcement displaces scheduled work.

Specify ownership of accounts, source files and contact records. The company should retain access to its CRM and publishing channels. Require a usable handover when the relationship ends, including unresolved investor questions and outstanding commitments.

Budget management time too. An agency cannot invent the technical explanation or approve a material disclosure. Assign a finance contact and, where needed, a scientist, geologist or operating executive. Decide who can resolve disagreements quickly.

For a Canadian explorer, the qualified person may need to review technical content. For a biotechnology issuer, clinical and regulatory specialists should review scientific claims. The IR provider coordinates this expertise; it does not replace it.

Keep communications and securities transactions distinct

Investor communications do not automatically authorize an agency to solicit securities purchases, negotiate financing terms or receive transaction-based compensation. The SEC identifies solicitation, transaction participation and compensation arrangements among factors relevant to broker-dealer registration.

Canadian registration requirements and exchange policies also need consideration. A TSXV company should check the current requirements governing its IR engagement under Policy 3.4. Do not assume the same engagement process applies to a CSE, TSX or U.S. issuer.

If an individual also holds a registered dealing role, establish which firm and capacity govern each activity. A commercial IR contract does not extend someone’s registration to unrelated work.

Evaluate the first 90 days

Agree on a baseline before work begins. Useful evidence includes faster inquiry handling, a corrected presentation, complete contact records, relevant meetings and fewer recurring misunderstandings. Record deliverables accepted by management, not merely files delivered.

Ask what the provider learned from conversations. If investors repeatedly question funding runway or customer concentration, that should change the communication plan. A report containing only impressions misses the central function of IR: understanding how the market interprets the business.

Use our IR strategy and market intelligence framework to structure that review. Share-price changes should not serve as proof that the mandate succeeded or failed; many other factors affect them.

Before hiring, give each candidate the same actual problem and ask for a proposed first month. Their allocation of time will reveal more than an extensive service menu. Pubco can help define that scope and identify the work your management team should retain.
